Enclosed with this memo please find the Notice of the Special Shareholder Meeting and a form of Proxy.
If you are not able to attend the scheduled meeting, please utilize the enclosed Proxy to ensure a quorum and to enable an official Special Meeting. You may give this Proxy to anyone who you feel will be able to represent your interests in the Corporation at the Special Meeting.
We are requesting that the names of anyone else interested in running for the Board be submitted to Mark Levine by email at mblevine@ebmg.com no later than March 9, 2026 so that we can have the ballots ready for distribution at the meeting. Voting will be electronic in nature and the ballot will be released at the meeting.
